1. Acceptance of Terms

By accessing or using the SKTEXUS website, submitting an inquiry, purchasing or using a SKTEXUS product or service, or otherwise engaging with us, you acknowledge that you have read and agree to these Terms and Conditions to the extent applicable to your interaction with SKTEXUS.

If you are acting on behalf of a company or other organization, you represent that you are authorized to act on its behalf.

5. Project Proposals and Agreements

Custom development and professional services may be governed by a separate proposal, quotation, statement of work, service agreement or other written agreement. Such documents may define scope, deliverables, milestones, timelines, dependencies, acceptance criteria, support, ownership, payment terms and other project-specific conditions.

If project-specific written terms conflict with these general Terms, the project-specific agreement will control for that project.

6. Pricing, Invoices and Payments

Prices displayed publicly, where any, may be indicative unless expressly stated otherwise. Custom project pricing will normally be specified in an approved quotation or agreement.

Clients must pay invoices according to the agreed payment schedule. Taxes, third-party subscriptions, cloud infrastructure, app-store charges, domain fees, paid APIs, licenses, advertising spend or other external costs may be charged separately unless expressly included in writing.

Where permitted by the applicable agreement and law, delayed payments may result in delayed delivery, suspension of work or suspension of applicable services.

7. Client Responsibilities

Clients are responsible for providing accurate requirements, content, credentials, approvals, feedback, access and other dependencies reasonably required to perform the agreed work. Clients must ensure that materials they provide to SKTEXUS can lawfully be used for the project.

Delays in client dependencies, approvals or requested changes may affect project timelines and costs.

8. Intellectual Property

The SKTEXUS name, branding, website design, original website content, proprietary software, reusable frameworks, tools, methodologies and other materials owned by SKTEXUS remain protected by applicable intellectual-property laws.

Ownership of custom project deliverables will be determined by the applicable project agreement. Unless expressly transferred in writing, SKTEXUS retains ownership of its pre-existing intellectual property, reusable components, general know-how, tools and technology.

Third-party software, libraries, fonts, media and open-source components remain subject to their respective licenses.

9. Third-Party Services

Our website, products or client solutions may integrate with third-party services such as cloud platforms, payment gateways, analytics providers, APIs, app stores, communication services or other software. These services are governed by their own terms, availability and policies.

SKTEXUS is not responsible for outages, policy changes, pricing changes or failures caused solely by third-party services outside our reasonable control.

Any warranties applicable to a paid product or custom project will be those expressly stated in the applicable agreement.

To the extent permitted by applicable law, SKTEXUS will not be liable for indirect, incidental, special or consequential losses arising solely from use of, or inability to use, the public website.

Liability relating to a paid product, subscription or client project will be governed by the applicable agreement and mandatory law. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

13. Suspension and Termination

We may restrict or suspend access where reasonably necessary to protect security, prevent misuse, comply with law, address material payment defaults, or enforce an applicable agreement. Project cancellation and termination rights will be governed by the relevant proposal, contract or service agreement.

14. Privacy

Our collection and use of personal information is described in the SKTEXUS Privacy Policy. Product-specific privacy notices may apply to individual SKTEXUS products or services.

15. Governing Law and Disputes

Unless a separate written agreement specifies otherwise, these Terms are governed by the applicable laws of India. Subject to applicable law and any agreed dispute-resolution procedure, disputes relating to these Terms will be subject to the jurisdiction of the competent courts in Tamil Nadu, India.

16. Changes to These Terms

SKTEXUS may update these Terms periodically to reflect changes in our services, business practices or legal requirements. Updated Terms will be published on this page with a revised “Last Updated” date. Continued use after an update will be subject to the revised Terms where permitted by law.
